Terms and Conditions

Rhemex Consultants LLC (trading commercially as "Rhemex Labs") provides marketing engineering, web development, and AI implementation services.

By contracting any of our services ("Launchpad," "Neural Web," "AI Agents," or Training), you (the "Client") agree to be legally bound by these Terms and Conditions.

1. Service Relationship and Software Dependency

1.1. Nature of the Service

Rhemex Labs provides implementation and configuration services ("Done-For-You"). We build, configure, and train digital assets for your business.

1.2. Subscription Requirement (Rhemex Suite)

You acknowledge and agree that all digital assets delivered by Rhemex Labs (Websites, Chatbots, Automations) are built and hosted on the Rhemex Suite platform.

Condition: For the contracted services to function, the Client must maintain an active and up-to-date Rhemex Suite (SaaS) subscription.
Cancellation: If the Client cancels their Rhemex Suite software subscription, the websites and AI agents will cease to function immediately. Rhemex Labs is under no obligation to migrate these assets to other external platforms (such as WordPress or Wix).

2. Payments, Fees and Refunds

2.1. Implementation Fees (Setup Fee)

Fees for project development (e.g., Web Neuronal, Rhemex Launchpad) are a one-time payment and must be covered before work begins, unless there is a written agreement for payment in installments.

2.2. Refund Policy (Services)

Because our services involve human labor hours, intellectual property, and custom technical configuration:

No refunds are offered on setup fees once the onboarding process has begun.
If you decide to cancel the project before we start work, a 20% administrative fee may apply.

3. Intellectual Property and Usage Rights

3.1. What is yours (Deliverables)

The Client retains full ownership of:

Your business-specific content (text, logos, images) provided to us.
The lead and customer database generated through the system.
The website domain (URL) if purchased by the client.

3.2. What is ours (Methodology)

Rhemex Consultants LLC retains the intellectual property rights to:

The prompts (programming instructions) used to train the AI.
The design templates (snapshots), workflows, and automation structures pre-built by Rhemex Labs.
The Client receives a perpetual license to use these elements for as long as they are a Rhemex Suite user, but they are not authorized to resell, duplicate, or distribute our technology to third parties.

4. Limitation of Liability Regarding Artificial Intelligence

4.1. Nature of AI ("Hallucinations")

Rhemex Labs trains AI Agents using information provided by the Client. However, Artificial Intelligence models (such as GPT-4) are probabilistic and can occasionally generate inaccurate or unintended responses ("hallucinations").

Disclaimer: Rhemex Labs is not responsible for false promises, erroneous data, or inappropriate language generated by the Bot in conversations with its end customers.
Monitoring Obligation: It is the Client's responsibility to periodically monitor their AI's conversations and report any errors to Rhemex Labs for retraining.

4.2. Third-Party Platforms (WhatsApp/Meta)

Our services rely on external platforms such as WhatsApp, Facebook, and Instagram. Rhemex Labs is not responsible for:

Blocking of phone numbers or advertising accounts by Meta.
Changes to these platforms' API policies that affect the Bot's functionality.
Global service interruptions on these networks.

5. Customer Responsibilities

Para garantizar el éxito del proyecto, el Cliente se compromete a:

Provide accurate and complete information about your pricing, services, and policies for the AI Knowledge Base.
Respond to design and configuration approval requests within 5 business days. (Customer delays will pause delivery times.)
Do not use the services to promote illegal activities, adult content, or spam, in accordance with Rhemex Suite's usage policies.

6. Guarantee of Results

Rhemex Labs applies best practices in marketing engineering to maximize your results. However, we do not guarantee specific sales, revenue, or conversion figures. Results depend on multiple external factors, such as the quality of your offering, your market reputation, product demand, and your ability to close sales scheduled by AI.

7. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States. Any legal dispute shall be resolved in the competent courts of said jurisdiction.
